Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by PoseAble Labs LLC ("PoseAble Labs," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our services.

2. Description of Services

PoseAble Labs provides sensor calibration services, consulting, and related technologies for robotics and autonomous systems. Our services include target-less calibration solutions for cameras, LIDAR, IMU, and other sensors.

3. User Accounts and Access

Access to certain services may require authentication via access codes or other credentials. You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account.

4. Customer Data Uploads

4.1 Data Ownership and License

Customer retains all intellectual property rights in and to the sensor data, files, and content uploaded to our systems ("Customer Data"). By uploading Customer Data, Customer grants PoseAble Labs a non-exclusive, worldwide license to:

• Process, analyze, and store Customer Data for the purpose of providing calibration services
• Use Customer Data to generate calibration results and deliverables
• Perform backup, security, and technical maintenance operations

This license terminates when Customer Data is deleted from our systems in accordance with our retention policies.

4.2 Customer Warranties and Representations

Customer warrants and represents that:

• Customer has the lawful right to upload and share the Customer Data with PoseAble Labs
• Customer Data does not contain export-controlled information under U.S. or international law
• Customer Data does not contain illegal, harmful, or malicious content
• Customer Data does not contain personally identifiable information or privacy-sensitive data without appropriate consent or a executed Non-Disclosure Agreement (NDA)
• Customer Data does not infringe upon the intellectual property rights of third parties

4.3 File Size Limitations

Individual file uploads are limited to 20 GB per file unless otherwise agreed to in writing. Contact us at info@poseablelabs.ai for arrangements regarding larger file uploads.

4.4 Security Measures

PoseAble Labs implements the following security measures for Customer Data:

• Transport Layer Security (TLS) 1.3 encryption for data in transit
• Amazon S3 Server-Side Encryption (SSE-S3) for data at rest
• Restricted Identity and Access Management (IAM) policies
• Regular security monitoring and assessments

4.5 Data Retention and Deletion

Customer Data is retained for 90 days from the date of upload unless otherwise agreed to in writing. After the retention period, Customer Data is automatically and permanently deleted from our systems. Customers may request earlier deletion by contacting us at info@poseablelabs.ai.

5. Acceptable Use

You agree not to:

• Use our services for any illegal or unauthorized purpose
• Upload malicious software, viruses, or harmful code
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt our services
• Reverse engineer or attempt to extract proprietary algorithms

6. Intellectual Property

PoseAble Labs retains all rights to its proprietary algorithms, software, methodologies, and calibration technologies. Nothing in these Terms transfers ownership of PoseAble Labs' intellectual property to Customer.

7. Payment Terms

Payment terms for services will be specified in separate agreements or invoices. All fees are non-refundable unless otherwise specified in writing.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, POSEABLE LABS' TOTAL LIABILITY TO CUSTOMER FOR ALL CLAIMS RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY CUSTOMER TO POSEABLE LABS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL POSEABLE LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Indemnification

Customer agrees to indemnify, defend, and hold harmless PoseAble Labs from any claims, damages, or expenses arising from Customer's breach of these Terms, violation of applicable laws, or infringement of third-party rights.

11. Termination

Either party may terminate access to services at any time. Upon termination, Customer's access to uploaded data will be subject to our standard retention and deletion policies.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of California.

13. Changes to Terms

We may modify these Terms at any time by posting updated terms on our website. Continued use of our services after changes constitutes acceptance of the modified Terms.
